These Terms of Service (“Terms”) govern your access to and use of the UppalCRM platform operated by Uppal Solutions (“UppalCRM,” “we,” “us,” or “our”). By creating an account or using UppalCRM, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1. The Service
UppalCRM is a cloud-based Customer Relationship Management platform designed for software licensing businesses. The service includes lead management, contact management, account and license tracking, transaction management, team collaboration, and communication tools (SMS, WhatsApp, voice).
2. Account Registration
To use UppalCRM, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Promptly notifying us at support@uppalcrm.com if you suspect unauthorized access.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unlawful purposes.
3. Subscriptions and Payment
3.1 Plans and Pricing
UppalCRM is offered on a subscription basis. Current pricing plans are published on uppalcrm.com/pricing. We reserve the right to modify pricing with at least 30 days’ written notice before the start of your next billing cycle.
3.2 Free Trials
We may offer a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using the service. If you do not subscribe, your access will be suspended. Trial data is retained for 30 days after the trial expires and is then permanently deleted.
3.3 Billing
Paid subscriptions are billed monthly or annually, as selected during signup. Payments are processed through our payment provider. All fees are stated in US dollars unless otherwise noted.
3.4 Refunds
If you are dissatisfied with UppalCRM within the first 30 days of your initial paid subscription, you may request a full refund by contacting support@uppalcrm.com. After 30 days, subscription fees are non-refundable. You may cancel at any time and continue using the service until the end of your current billing period.
4. Data Ownership
4.1 Your Data
You retain full ownership of all data you and your team enter into UppalCRM (“Your Data”). We claim no ownership rights over Your Data.
4.2 License to Provide the Service
By using UppalCRM, you grant us a limited license to host, store, process, and display Your Data solely for the purpose of providing and improving the UppalCRM service. This license terminates when your subscription ends and your data is deleted.
4.3 Data Export
You may export Your Data in CSV format from all core modules (Leads, Contacts, Accounts, Transactions) at any time through the platform’s built-in export functionality, at no additional charge.
4.4 Data After Cancellation
Upon cancellation of your subscription:
- Your data remains accessible for the remainder of your current billing period.
- After your subscription ends, your data is retained in read-only state for 30 days.
- During this 30-day period, you may request a data export by contacting support@uppalcrm.com.
- After 30 days, all Your Data is permanently and irreversibly deleted from our systems.
5. Acceptable Use
You agree not to use UppalCRM to:
- Violate any applicable law or regulation.
- Store or transmit content that infringes on intellectual property rights.
- Store or transmit malicious code, viruses, or harmful data.
- Attempt to gain unauthorized access to other accounts, systems, or networks.
- Interfere with or disrupt the service or servers connected to the service.
- Use the platform for spamming, phishing, or other abusive communications.
- Resell, sublicense, or redistribute access to UppalCRM without our written consent.
We reserve the right to suspend or terminate accounts that engage in prohibited activities, with reasonable notice where possible.
6. Service Availability
6.1 Uptime
We target 99.9% monthly uptime for the UppalCRM platform, excluding scheduled maintenance. While we strive to meet this target, it is not a guaranteed SLA with financial penalties at this time.
6.2 Scheduled Maintenance
We will provide at least 24 hours’ notice for planned maintenance that may affect service availability. Where possible, maintenance is scheduled during off-peak hours.
6.3 Force Majeure
We are not liable for service interruptions caused by events beyond our reasonable control, including natural disasters, internet outages, third-party service failures, or government actions.
7. Security
We implement industry-standard security measures to protect Your Data, including AES-256 encryption at rest, TLS encryption in transit, row-level database security for tenant isolation, and automated daily backups with 35-day retention.

While we take every reasonable precaution to protect Your Data, no method of electronic transmission or storage is 100% secure. We cannot guarantee absolute security.
8. Privacy
Our collection and use of personal information is governed by our Privacy Policy, available at uppalcrm.com/privacy. By using UppalCRM, you agree to the terms of our Privacy Policy.
9. Intellectual Property
9.1 Our Property
UppalCRM, including its software, design, branding, documentation, and all related intellectual property, is owned by Uppal Solutions. These Terms do not grant you any rights to our intellectual property except the limited right to use the service during your active subscription.
9.2 Feedback
If you provide us with feedback, suggestions, or ideas, we may use them to improve the service without any obligation or compensation to you.
10. Third-Party Services
UppalCRM integrates with third-party services including Twilio (for SMS, WhatsApp, and voice), Brevo (for transactional email), Microsoft Azure (for database hosting), and Render (for application hosting).
Your use of these integrations may be subject to the respective third-party provider’s terms and policies. We are not responsible for the practices or availability of third-party services.
11. Limitation of Liability
To the maximum extent permitted by law:
- UppalCRM is provided “as is” and “as available” without warranties of any kind, express or implied.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Our total liability for any claim arising from or related to these Terms or the service is limited to the amount you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Uppal Solutions, its officers, and employees from any claims, damages, or expenses arising from your use of UppalCRM, your violation of these Terms, or your violation of any third-party rights.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice within the platform at least 30 days before the changes take effect.
Your continued use of UppalCRM after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you may cancel your subscription before the changes take effect.
14. Termination
14.1 By You
You may cancel your subscription at any time through the platform or by contacting support@uppalcrm.com. Cancellation takes effect at the end of your current billing period.
14.2 By Us
We may suspend or terminate your account if you materially breach these Terms, fail to pay subscription fees after reasonable notice, use the service in a manner that threatens the security or integrity of the platform, or if we are required to do so by law.
Where possible, we will provide reasonable notice and an opportunity to cure any breach before termination.
14.3 Effect of Termination
Upon termination, your right to use UppalCRM ceases. Your Data is handled according to Section 4.4 (Data After Cancellation).
15. Governing Law and Disputes
These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to conflict of law principles.
Any dispute arising from these Terms or the service that cannot be resolved through good-faith negotiation will be submitted to the courts of British Columbia, Canada.
16. General Provisions
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and UppalCRM regarding the service.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
- Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment. You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets, with notice to you.
